Amendments Would Clarify LLC Responsibilities, Maintain Standards

Media released by the Ministry of Financial Authority was published in the Cayman Islands Legislation Gazette on 16 August 2022.

The proposed Limited Liability Companies (Amendment) Bill, 2022 key changes as follows:

1. No longer to have to file a certificate of amendment on membership changes with the Companies Register;
2. Require LLCs to maintain the names and addresses of their members in their register of members and nature of their voting rights at the registered office and to also provide this information upon demand to the Companies Registry; and
3. To remove the penalties provision in the current LLC Act which are now covered in the Cayman Islands’ beneficial ownership administrative fines regime.

Lastly, the Authority has also reminded entities on obligations to maintain and provide beneficial ownership information to comply with the Beneficial Ownership Regulations.

金融管理部釋出的法規訊息，已刊登於2022年8月16日的開曼群島立法公報上。

「2022年有限責任公司(修正)法案」所擬議的主要修改內容如下：

1. 無須再向公司註冊處提交股東變更修正證明。
2. 有限責任公司必須在其註冊辦公室留存股東名冊，其中載明股東姓名/名稱、地址及其表決權性質，並在公司登記處索取時提供之。
3. 移除目前有限責任公司法中的罰則條款，該些罰則現在規範於開曼群島最終受益人行政罰金辦法中。

最後，金融管理部亦提醒各實體必須留存及提供最終受益人資訊的義務，以便遵守「最終受益人條例」。
