Notification on Acts and Regulations of 2023 Revisions

The following Acts and Regulations (2023 Revision) were published in the Cayman Islands Legislation Gazette on 12 January 2023.

IMPORTANT NOTE: All previous revisions are replaced and discarded to reference
new version of Act.

Please note that the Annual Return and Declaration Form for Companies is to be amended pursuant to the latest revision of Companies Act. We enclose the updated Form for your completion.

Please complete and return to Portcullis no later than 15 March 2023 to avoid any late submission and penalty charges against the Company.

Changes to the Annual Return and Declaration form is as set out below (i.e. a change in the reference header to reference the correct version of the Act denoted by greyed out block):

“ANNUAL RETURN AND DECLARATION
PURSUANT TO SECTION 168 & 169 OF THE COMPANIES ACT (2023 REVISION)”

Where the previous returns with reference to the 2022 Revision of Acts have already been provided to Portcullis before issue of this circular, we will attempt to submit the same to the Cayman Registry. Should the registry not find it acceptable, we will revert to obtain the latest revised form.

重要事項：所有以前修改的舊法規均被廢棄，由新修改的法規予以取代。

請注意，公司年度申報暨聲明表將依最新修改的公司法予以修正。在此附上最新的表格供貴公司填寫。

請完整填寫並於2023年3月15日之前交回保得利，以免遲交而對 貴公司處以罰款。

年度申報暨聲明表的內容變更如下所示(亦即，參考標題變更，藉以表明正確版的法規，如以灰色框表示者)：

依公司法(2023年修改版)第168 & 169條”

若於本通知函發出前已向保得利提供2022年修改的舊式申報表，本公司將嘗試以之提交開曼註冊處。若註冊處不接受，本公司將回頭索取最新修改版的表格。
