Seychelles Financial Services Authority’s Measures on COVID-19

With respect to transactions relating to the FSA’s Registry Services please note that as of 12th May, 2021 the following processes will be in place for the following transactions so as to limit the need for face to face contact given the escalating COVID situation in the Seychelles:

IBC

• Name Reservation
• Incorporation
• Stamping of Memorandum and Articles of Association
• Certificate of Incorporation
• Certificate of Good Standing
• Certificate of Official Search
• Amendments of M&A
• Dissolution

The procedures for M&A’s, certificate of Incorporation, amendments and dissolution are as follow;

1. Registered agents will need to print the M&A which is to be signed by the subscriber and witness.
2. The M&A will need to be certified as a true copy by the Registered Agent.
3. Scanned copy of the certified M&A is to be sent by email to the following email address:  registry@fsaseychelles.sc.
4. Registry staff will print the M&A, stamp it and return by email to the respective. Registered Agent along with a scanned colored copy of the certificate of incorporation.

The scanned copies of Certificates of Good Standing, Certificates of Official Search, Amendments of M&A and Dissolution documentation would be provided by email until the originals are made available for collection at a later date to be notified.

賽舌爾金融服務管理局針對COVID-19措施

關於塞席爾金融服務管理局的註冊服務相關交易，請注意，自2021年5月12日起，下列交易事項將實施下列程序，以便在塞席爾面臨新冠肺炎疫情逐漸擴大之際，減少面對面接觸的必要：

國際商業公司

• 公司名稱保留
• 公司設立登記
• 公司設立章程的核章
• 公司登記執照
• 公司存續證明書
• 官方公司查詢證書
• 公司章程修訂書
• 公司解散

公司章程、公司登記執照、修訂書及公司解散的程序如下：

1. 註冊代理人必須列印公司章程，而公司章程必須經認股人及見證人簽名。
2. 公司章程必須經註冊代理人核實正本。
3. 掃描經認證的公司章程，然後以電郵方式寄送至下列郵箱：registry@fsaseychelles.sc。
4. 註冊處人員將列印公司章程，蓋章後以電郵方式寄回給註冊代理人，並附上一紙掃描彩色版的公司登記執照。

掃描版的公司存續證明書、官方公司查詢證書、公司章程及解散等文件，將先以電郵方式提供，嗣後另行通知可領取原本的時日。
